Referral Program Terms of Service

Overview

These Terms explain who can refer a restaurant to ChefMod, what counts as a qualified referral, what the referrer and the referred restaurant each receive, and how and when rewards are paid. By taking part in the ChefMod Referral Program (the “Program”), you agree to these Terms.

In plain language: Refer a restaurant that would be a good fit for ChefMod. If they become a paying member, you get rewarded and they get a smoother, discounted start. Your referred restaurant sees their own price and signs up on their own terms – no high-pressure sales, and no demo required. The sections below are the exact rules.

Program Eligibility

Who is eligible to refer?

You are eligible to refer a restaurant to ChefMod if you are any of the following:

  • A current ChefMod member referring a restaurant you do not own or operate (a fellow operator, a peer in your restaurant association, or a colleague at a different restaurant group).
  • A ChefMod employee, consultant, investor, or friend of ChefMod.
  • Anyone who submits a referral through an official ChefMod referral link, the online referral form, the “introduce us” option, or in writing (email is acceptable) to a ChefMod team member.

You must be at least 18 and provide accurate information about yourself and the restaurant you refer.

Who is not eligible?

The following referrals are not eligible for a reward:

  • An owner or operator referring their own restaurant, brand, or franchise, or any location under common ownership or control (you can’t refer yourself).
  • ChefMod sales staff or authorized resellers acting within their sales role.
  • Integration or strategic partners who already have a separate ChefMod referral, reseller, or revenue-share agreement (those are governed by their own contract).
  • Suppliers, distributors, and vendors referring their restaurant customers, which are handled through ChefMod’s separate partner program.
  • A franchisor making the ChefMod purchasing decision on behalf of its franchisees.

Qualified Referrals & Attribution

What counts as a Qualified Referral

A referral becomes a Qualified Referral (the milestone that earns a reward) only when all of the following are true:

  1. It was submitted through an official ChefMod referral link, the online referral form, the “introduce us” option, or in writing (email is acceptable) to a ChefMod team member.
  2. The referral identifies a named contact at the restaurant and a valid email address for that person.
  3. At the time of referral, the restaurant was not already an active opportunity in ChefMod’s system and had no sales contact from ChefMod in the prior 90 days.
  4. The referred restaurant signs a ChefMod Member Agreement.

How referrals are attributed

Attribution determines which referrer is credited for a given restaurant.

  • Referral link (preferred). Each participant can generate a unique referral link. When a restaurant reaches ChefMod through your link and submits, you are credited. Link attribution lasts 90 days from the click.
  • Introduce-us or written referral. If you submit a restaurant’s name and contact directly, or introduce them in writing, you are credited when that restaurant is matched in ChefMod’s system.
  • First valid referral wins. If more than one person refers the same restaurant, the first valid attributed referral is credited. A restaurant that is already an active opportunity cannot be newly attributed.
  • One reward per referred restaurant. A given restaurant brand or group generates one referral reward, credited to one referrer.

Rewards & Payouts

What you receive

A referral reward for each Qualified Referral:

  • $250 for a single-location or independent restaurant.
  • $500 when the referred restaurant group has four (4) or more locations.
  • No cap on how many different restaurants you refer – one reward per referred restaurant brand or group.

What the referred restaurant receives

Every restaurant you refer that becomes a member receives a welcome benefit to make their start easier – not a cash payment. Depending on the current offer, this may include waived onboarding, a first-month account credit, and, during the Founding Member (Charter) window, Founding Member status with a locked founding rate. The benefit in effect is shown on the referral page and in the referred restaurant’s quote.

How and when you’re paid

You choose how you’re paid: as a credit applied to your ChefMod account, or as a cash payment sent electronically (you select your payout method). Members default to account credit unless they choose cash. To receive cash, you must complete a current W-9 before payment.

Rewards are paid in full once the referred restaurant signs its ChefMod Member Agreement. If a referred restaurant cancels within ninety (90) days of signing, ChefMod may reverse or withhold the reward.

Taxes

Referral rewards may be reportable income, and ChefMod may issue a Form 1099 where required. You are responsible for any taxes on rewards you receive. This is general information, not tax advice – please consult your own advisor.

General Terms

Disqualification, fraud and abuse

A referral may be disqualified, and a reward withheld or reversed, if:

  • It is for your own restaurant, brand, franchise, or a commonly-owned location.
  • The restaurant was already an active ChefMod opportunity or recent sales contact.
  • The referral duplicates an earlier valid referral.
  • Contact information is fabricated, or the referred party did not consent to being contacted.
  • The referral results from spam, misrepresentation of ChefMod, or purchased or incentivized clicks.
  • The referred restaurant does not sign a Member Agreement.

ChefMod may review referrals for abuse and may withhold rewards it reasonably determines to be fraudulent or in violation of these Terms.

Changes to the Program

ChefMod may update these Terms or modify or end the Program at any time. Changes apply going forward from the date they are posted, and we will make commercially reasonable efforts to post notice on the referral page. Qualified Referrals already earned under the prior Terms will be honored.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
